By engaging with NU Tech Marketing, you agree to the following Terms & Conditions. These terms are designed to ensure transparency, clarity, and a smooth working relationship between both parties.
1. Scope of Services
NU Tech Marketing provides digital marketing, branding, technology, and consulting services as outlined in the approved proposal or agreement. Any additional services beyond the agreed scope will be charged separately.
2. Marketing & Advertising Costs
All third-party marketing and advertising expenses—including but not limited to Meta Ads, Google Ads, WhatsApp marketing platforms, CRM tools, software subscriptions, and automation tools—are not included in the service fees. These costs must be paid directly by the client to the respective platforms.
3. Payment Terms
Payments must be made as per the agreed schedule mentioned in the proposal or invoice. Delayed payments may result in a pause or suspension of services until dues are cleared.
4. Client Responsibilities
The client is responsible for providing timely approvals, content, access credentials, and accurate business information required for project execution. Delays in providing inputs may affect timelines.
5. Timelines & Deliverables
Project timelines are estimated and depend on client approvals, availability of resources, and external platform factors. NU Tech Marketing is not liable for delays caused by third-party platforms or client-side dependencies.
6. Performance Disclaimer
While NU Tech Marketing follows industry best practices and proven strategies, results such as leads, sales, reach, or rankings cannot be guaranteed, as performance depends on market conditions, competition, budget, and platform algorithms.
7. Intellectual Property
All creative assets, strategies, and materials developed remain the property of NU Tech Marketing until full payment is received. Upon completion of payments, ownership of finalized deliverables will be transferred to the client unless stated otherwise.
8. Confidentiality
Both parties agree to maintain strict confidentiality of shared business information, data, strategies, and credentials during and after the engagement.
9. Cancellation & Termination
Either party may terminate the agreement with prior written notice as mentioned in the proposal. Fees for services already rendered or ongoing work are non-refundable.
10. Limitation of Liability
NU Tech Marketing shall not be held liable for indirect, incidental, or consequential damages arising from the use of digital platforms, tools, or services.
11. Modifications
NU Tech Marketing reserves the right to update or modify these Terms & Conditions at any time. Updated terms will be effective upon publication or notification.
Payment and Project Terms & Conditions
All services provided by NU Tech Marketing are subject to the following payment and project terms. Payments are to be made in advance as per the agreed scope and timeline. Advertising budgets, third-party tools, software subscriptions, and platform fees are not included in service charges and must be paid directly by the client. Project execution timelines depend on timely client approvals, content, and access credentials. While we implement proven digital strategies to achieve optimal results, outcomes may vary based on market conditions and competition.
Payment and Project Terms & Conditions
- Payment Terms: 100% advance payment is required on a monthly basis before the commencement or continuation of services.
- Advertising Budget: Any paid advertising budget (Google Ads, Meta Ads, or other platforms) must be paid directly by the client and is not included in the management or service fees.
- Pricing Variations: SEO keyword pricing and overall marketing costs may vary depending on industry competition, keyword difficulty, market conditions, existing project status, and handover-related risks from previous vendors or agencies.
- SEO KPI & Project Handover: If the agreed SEO KPI keywords achieve first-page rankings, project or website handover (including reports, access, or documentation) will be completed only after receiving two (2) additional months of payment in the event of project discontinuation. This clause is applicable to safeguard ranking stability and transition continuity.
- Project Scope: Services will be delivered strictly as per the agreed scope of work. Any additional services beyond the scope will be charged separately upon mutual approval.
- Reporting & Deliverables: Performance reports and deliverables will be shared as per the agreed reporting schedule.
- Results Disclaimer: SEO and digital marketing results depend on search engine algorithms, platform policies, and market competition. Rankings and performance cannot be guaranteed unless explicitly stated.
- Client Responsibilities: The client must provide timely approvals, content, and access credentials to avoid execution delays.
- Validity of Quotation: This quotation is valid for 8 days from the date of issue.
- Termination Policy: Either party may discontinue the engagement with prior written notice as mutually agreed. Payments already made are non-refundable.
Marketing Budget & Platform Cost Disclaimer
* Marketing & Advertising Budgets (Meta Ads, Google Ads, TikTok Ads, etc.) are not included in the service fees and must be paid directly by the client to the respective platforms.
* WhatsApp Marketing Platforms: Monthly subscription fees and per-message charges are borne by the client and are not included in the management or service charges.
* CRM Systems: CRM software licenses, subscriptions, and third-party tool costs are the responsibility of the client. Our scope includes technical setup, marketing automation, sales process integration, and ongoing support only.
* The service fees quoted cover strategy, setup, optimization, management, reporting, and technical marketing & sales support, but exclude all third-party platform costs.
